1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of InnDesk (the "Service"). By accessing or using the Service, creating an account, or signing in with Google, you agree to these Terms and our Privacy Policy.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
InnDesk provides AI-powered business productivity tools, including chat assistants, document processing, and optional integrations with third-party services such as Google Calendar, Gmail, Google Drive, Google Sheets, Xero, and Zoom.
Features may change over time. We may add, modify, or discontinue features with reasonable notice where practicable.
3. Accounts and Authentication
You may register using Google Sign-In or other supported authentication methods. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate information and to notify us promptly of unauthorized use of your account.
4. Google and Third-Party Integrations
Some features require you to authorize third-party services. When you connect Google or other providers, you authorize InnDesk to access only the data and scopes you approve, solely to provide the requested functionality.
Your use of Google services is also subject to Google's terms and policies. You may revoke Google access at any time through your Google Account settings.
5. Acceptable Use
You agree not to misuse the Service. Prohibited conduct includes:
- Violating applicable laws or third-party rights.
- Attempting to gain unauthorized access to systems, accounts, or data.
- Uploading malware or using the Service to send spam or abusive content.
- Reverse engineering or interfering with the Service except where permitted by law.
- Using the Service to process data you do not have the right to use.
6. User Content
You retain ownership of content you submit to the Service. You grant InnDesk a limited license to host, process, and display your content solely to operate and improve the Service.
You are responsible for ensuring you have all necessary rights to the content you upload or connect through integrations.
7. Subscriptions and Payments
Paid plans, billing cycles, and pricing are presented within the Service. Payments are processed by our payment provider. Fees are non-refundable except where required by law or explicitly stated in the Service.
We may change pricing with advance notice. Continued use after a pricing change constitutes acceptance of the new pricing for subsequent billing periods.
8. Intellectual Property
The Service, including software, branding, and design, is owned by InnDesk or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis. AI-generated outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them for business, legal, financial, or other decisions.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, InnDesk will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service and other users.
Upon termination, provisions that by their nature should survive will remain in effect, including ownership, disclaimers, and limitations of liability.
12. Governing Law
These Terms are governed by the laws applicable in Hong Kong, without regard to conflict of law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
